Senior Relationship Manager, Corporate Secretarial
Service Line: SPV Management
Location: Dublin, Ireland
Role type: Permanent, 37.5 hours per week, Hybrid / On-site
Job Summary
We are seeking an experienced Senior Relationship Manager to join CSC's SPV Management service line in Dublin, supporting a portfolio of Irish corporate secretarial clients, including regulated and non-regulated structures. This role is focused on high-quality governance delivery, board and committee meeting management, and exceptional client service. You will be a key point of contact for day-to-day client expectations, ensuring service level agreements (SLAs) are met and deliverables are accurate, timely, and compliant with Irish company law and applicable regulatory requirements. Strong minute drafting and minute review capability is essential.
Key Responsibilities
  • Manage a portfolio of corporate secretarial relationships, acting as a primary day-to-day contact and ensuring client expectations are understood, communicated, and met
  • Drive end-to-end board and committee meeting set-up: annual calendar planning, agenda coordination, pack collation, attendee logistics, and action tracking
  • Draft, review, and finalize high-quality board minutes and written resolutions, ensuring accuracy, appropriate tone, and clear recording of decisions and rationale
  • Provide company secretarial support across Irish entities, including statutory filings and maintenance of corporate records in line with Companies Act 2014 requirements
  • Monitor and deliver to agreed SLAs and internal quality standards; proactively manage priorities, risks, and escalations to maintain on-time delivery
  • Partner with internal stakeholders (e.g., Operations, Compliance, Legal, TA/Finance) and external advisers to coordinate approvals, execution steps, and governance documentation
  • Support governance and compliance for regulated structures (where applicable), ensuring appropriate meeting cadence, approvals, and documentation standards are maintained
  • Identify process improvements that enhance client experience, reduce rework, and improve governance delivery outcomes

Required Qualifications
  • 5+ years' experience in corporate secretarial / company secretary services with hands-on responsibility for board meeting governance and minute taking in Ireland
  • Chartered Governance Institute qualification (CGI/ICSA) or equivalent chartered company secretarial qualification
  • Demonstrated expertise in drafting and reviewing board minutes (including complex and time-sensitive matters)
  • Strong knowledge of Irish company law and governance requirements (including Companies Act 2014) and experience maintaining statutory books and completing required filings
  • Proven ability to manage client expectations and deliver to SLAs/KPIs in a client-facing, service delivery environment
  • Excellent written and verbal communication skills with strong attention to detail and sound judgement when handling confidential information
  • Proficiency with MS Office (Word, Outlook, Excel) and document management practices suitable for formal governance records

Preferred Qualifications
  • Experience supporting regulated structures in Ireland (e.g., entities subject to Central Bank of Ireland-related governance expectations)
  • Experience with SPVs and investment structures (e.g., private equity and real estate) and associated governance documentation
  • Familiarity with governance/workflow tools used in corporate secretarial administration (e.g., entity management systems, board portal tools)
