As an Associate on the Legal Insights team at BlackRock you will assist in driving the development of groundbreaking tools for the private markets investment industry through legal term extraction, research and analysis.
What you’ll be doing:
As an Associate on the Legal Insights team at BlackRock you will assist in driving the development of groundbreaking tools for the private markets investment industry through legal term extraction from fund agreements, research, analysis and report writing.
- NQ+ private markets, corporate or commercial lawyer from a reputable law firm
- Experience of reviewing and summarizing complex legal documents, which may include fund agreements
- Understanding of the nuances in legal drafting in LPAs across different asset classes, including knowledge of complex management fee structures, waterfalls, and key fund dates a bonus.
- Ability to determine fund/corporate structures from a review of the fund/legal agreements and to identify any legal documents that are missing from the provided legal documents.
- Ability to review financials and to marry the financial data with the fees and terms in the LPA.
- Ability to review LPA extractions of more junior members of the team and to provide constructive feedback on the same.
- Experience of providing legal opinions on complex legal documents and terms, including undertaking research for either internal or client audiences.
- Organized and able to work to strict deadlines with the ability to prioritise realistically and to address potential issues.
- Ability to communicate complex legal issues clearly to non-lawyers.
- Team player.
Experience and competencies:
- 0-2 years PQE within a reputable private markets, corporate or commercial practice.
- Experience of reviewing and summarizing legal agreements, including, if possible, limited partnership agreement (LPA), amended and restated LPAs, subscription agreements, management agreements, side letters, or corporate and commercial agreements.
- Knowledge of and experience in the private equity industry is desirable
- Ability to determine and understand complex legal structures following a review of legal documents.
- Experience of drafting legal opinions, undertaking research, report writing and thought leadership on legal terms and industry trends for either internal or client audiences.
- Experience of pulling together PowerPoint presentations and commentary.
- Ability to distil and communicate complex legal issues to non-lawyers.
- Ability to “think outside the box” and to work with key stakeholders in the development of new legal tools.
- Assist in the production of Term Intelligence related presentations, including providing commentary on LPA drafting and industry trends.
- Organized and able to work to strict deadlines with the ability to prioritise realistically and to communicate and address potential issues.
- Must be able to take ownership of delegated work and responsibilities.
- Ability to operate professionally and proactively at all times.
