Role Overview:

We're looking for an organised professional to support our Company Secretary office. In this key role, you will assist the Company Secretary, document and coordinate Board and committee meetings, including preparation of minutes, prepare governance documents, maintain statutory registers, and act as a trusted point of contact for company secretarial matters.

Duties and responsibilities: 

  • Corporate Governance:
  1. Maintain compliance with the Companies Act (Chapter 386, Laws of Malta) and other applicable regulations.
  2. Prepare, execute, and submit statutory filings to the Malta Business Registry within required deadlines.
  • ­ Maintain and update constitutional documents, registers of members, directors, secretaries, and beneficial owners.
  • Regulatory Liaison: act as a point of contact with regulatory authorities (e.g. Malta Business Registry, MFSA) for statutory obligations and filings.
  • Board & Shareholder Meetings:
  1. Manage the coordination of the Board and shareholder meetings.
  2. Ensure that accurate minutes of meetings, actions, decisions and resolutions are recorded and maintained­
  3. Record Keeping & Documentation: maintain statutory registers and corporate records in compliance with legal requirements.
  • Any other appropriate tasks designated by the Company Secretary

Required knowledge, skills and experience:

  • Bachelor’s Degree in Law, Business Administration, or equivalent through experience is considered as an asset
  • Knowledge of the financial services industry is considered a strong asset
  • At least 1-2 years of experience in a Company secretarial role or relevant experience is considered as an asset
  • An excellent knowledge of English (spoken and written), and have strong written and oral communication skills
  • Basic IT skills for the maintenance of the company secretary registers
